These Provider Terms of Service ("Provider Terms" or "Agreement") govern your access to and use of the Lawnify platform ("Platform") as a service provider ("Provider," "you," or "your"). These Provider Terms are entered into between you and Lawnify, Inc. ("Lawnify," "we," "us," or "our").
By registering as a Provider on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Provider Terms, our general Terms of Service, our Privacy Policy, and any additional policies referenced herein. If you do not agree to these Provider Terms, you may not register as or operate as a Provider on the Platform.
These Provider Terms supplement (and do not replace) the general Terms of Service. In the event of a conflict between these Provider Terms and the general Terms of Service, these Provider Terms shall control with respect to Provider-specific matters.

1. Eligibility and Registration
1.1 Eligibility Requirements
To register as a Provider on the Platform, you must:
- Be at least eighteen (18) years of age;
- Be legally authorized to perform lawn care and related services in the jurisdiction(s) where you operate;
- Possess and maintain all licenses, permits, and certifications required by applicable federal, state, and local law for the services you offer. Without limitation, this includes:
- Pesticide application licenses issued by the applicable state department of agriculture (e.g., Texas Department of Agriculture, NC Department of Agriculture, Arizona Department of Agriculture) for any services involving chemical application;
- Irrigation licenses (e.g., TCEQ in Texas) for irrigation repair or installation services;
- Landscape contracting licenses where required by state law (e.g., Arizona C-21 for projects exceeding $1,000);
- Maintain a valid Taxpayer Identification Number (TIN) or Social Security Number (SSN) for tax reporting purposes;
- Have an existing Lawnify user account in good standing (a Provider account is an extension of a standard user account);
- Successfully complete the Platform's identity verification process;
- Pass a background check conducted through our third-party verification partner (see Section 1.3);
- Maintain general liability insurance meeting the requirements set forth in Section 9.
1.2 Registration Process
Provider registration is conducted through the Platform at /providers/register and consists of the following steps:
- Business Information. You must provide accurate business information including your business name, description, contact phone number, years of experience, and optionally your website URL and business license number.
- Service Catalog. You must select the services you offer from the Platform's standard service catalog and set pricing for each service (see Section 3).
- Service Area. You must define your service area by specifying a center ZIP code and a radius in miles (maximum 50 miles).
- Stripe Connect Onboarding. You must complete Stripe Connect Express onboarding to enable payment processing. You agree to Stripe's Connected Account Agreement in addition to these Provider Terms.
- Profile Materials. You may upload a business logo, cover photo, and portfolio images (up to 20 before/after work photos).
1.3 Verification and Activation
- Upon completing registration, your account will be set to "pending review" status. You will not be eligible to receive service requests until your account has been reviewed and activated by Lawnify.
- Lawnify conducts background checks through a third-party provider. You authorize Lawnify and its designated third-party verification partner to perform background screening as part of the registration and ongoing verification process. Background checks are conducted asynchronously; you may complete the full registration process, but your account will remain in "pending verification" status until the check clears. You cannot receive your first service request until verified.
- Lawnify reserves the right to approve or reject any Provider application at its sole discretion. Lawnify will use commercially reasonable efforts to complete the review process within forty-eight (48) hours of a complete application submission.
- You must promptly update your registration information if any material changes occur, including but not limited to changes in licensing, insurance coverage, business name, contact information, or service area.
1.4 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Lawnify immediately of any unauthorized use of your account.
2. Independent Contractor Relationship
2.1 No Employment Relationship
You and Lawnify agree that this Agreement creates an independent contractor relationship, not an employment, partnership, joint venture, or agency relationship. Nothing in these Provider Terms shall be construed to create any such relationship.
2.2 Consequences of Independent Contractor Status
As an independent contractor:
- You are solely responsible for determining the manner and means by which you perform services for homeowners, including your own tools, equipment, supplies, and methods;
- You are solely responsible for paying all applicable taxes, including self-employment tax, federal and state income tax, and any sales or use taxes applicable to the services you provide;
- You are not entitled to any employee benefits from Lawnify, including but not limited to health insurance, retirement benefits, workers' compensation, or unemployment insurance;
- You are free to maintain your own independent business, serve clients outside the Platform, and set your own schedule and work hours;
- Lawnify does not control when, where, or how you perform services, except to the extent that quality and conduct standards are set forth in these Provider Terms and on the Platform.
2.3 Tax Obligations
You are solely responsible for all tax obligations arising from your use of the Platform. Lawnify will issue IRS Form 1099-NEC (or successor form) to Providers who receive $600 or more in gross payments through the Platform in a calendar year, as required by applicable law. You must provide accurate tax identification information during registration and promptly update it if changes occur.
3. Service Listings and Accuracy Obligations
3.1 Standard Service Catalog
You may offer services from the Platform's standard catalog, which includes: mowing, fertilization, aeration, overseeding, weed control, pest control, irrigation repair, sprinkler winterization, leaf removal, dethatching, soil testing, tree trimming, landscape design, and full plan management. Lawnify reserves the right to modify the standard catalog at any time.
3.2 Pricing
For each service you offer, you must specify a pricing model using one of the following structures:
- Flat Rate — A fixed price for the service regardless of lawn size;
- Per Square Foot — A price calculated based on the lawn's square footage;
- Hourly — A price based on the time spent performing the service;
- Quote Required — No fixed price; pricing is determined per-request through the quoting process.
For pricing models (a) through (c), you must specify a base price, and optionally a minimum charge and estimated duration in minutes. All prices on the Platform are displayed in U.S. dollars but stored and processed in cents.
3.3 Accuracy Obligation
You represent and warrant that:
- All information in your Provider profile and service listings is accurate, current, and complete;
- You will not misrepresent your qualifications, certifications, insurance coverage, licensing status, years of experience, or any other material fact;
- Your pricing accurately reflects your intended charges; you will not engage in bait-and-switch pricing, hidden fee practices, or deceptive quoting;
- Your portfolio photos and before/after images are authentic representations of your actual work and have not been materially altered to misrepresent results;
- Your service area accurately reflects the geographic region in which you are willing and able to perform services.
3.4 Seasonal Availability
You may designate seasonal availability for individual services (e.g., aeration available only in spring and fall). You are responsible for keeping seasonal availability current. The Platform will not display services that you have marked as unavailable for the current season.
4. Quoting, Acceptance, and Service Delivery
4.1 Receiving Service Requests
- When a homeowner submits a service request to you through the Platform, you will receive notification via email and on your Provider dashboard.
- Each service request includes lawn context data provided by the homeowner's AI analysis, which may include: grass type, lawn size (square footage), health score, analysis photos, identified issues, and climate zone. This data is provided to assist you in generating an accurate quote.
- The number of service requests you may receive per month depends on your Provider subscription tier (see Section 13). Upon reaching your monthly limit, additional requests will be blocked until the next billing cycle.
4.2 Submitting Quotes
- Upon receiving a service request, you may submit a quote that includes: the proposed price (in cents), estimated service duration (in minutes), a proposed service date, and any notes for the homeowner.
- You are not obligated to submit a quote for any service request. You may decline a request with or without providing a reason.
- All quotes must meet the Platform's minimum transaction amount of twenty-five dollars ($25.00).
- Quotes you submit are binding offers. If a homeowner accepts your quote, you are obligated to perform the service at the quoted price on or within the agreed-upon date range, subject to the cancellation provisions in Section 6.
4.3 Quote Expiration
If a homeowner does not respond to your quote within seventy-two (72) hours, the quote will automatically expire and the service request status will change to "expired." You will be notified of the expiration.
4.4 Homeowner Acceptance and Payment Authorization
When a homeowner accepts your quote:
- A payment authorization (hold) will be placed on the homeowner's payment method for the quoted amount via Stripe;
- The service request status will change to "accepted" and then to "scheduled" with the confirmed service date;
- Both you and the homeowner will receive confirmation notifications.
4.5 Service Delivery Obligations
- You must perform the accepted service on or by the scheduled date in a professional and workmanlike manner consistent with industry standards for the applicable service type.
- Upon arriving at the service location, you must mark the service as "in progress" through the Platform.
- Upon completing the service, you must mark the service as "completed" through the Platform. You may optionally upload up to five (5) completion photos documenting your work.
- Marking a service as "completed" initiates the payment capture process (see Section 5.3).
- Payment authorization holds expire after seven (7) days if you do not complete the service. If the hold expires, the homeowner's payment method is released and you will not be paid for that service request. It is your responsibility to complete services within the authorization hold period.
4.6 No-Show Policy
If you mark a service as "in progress" but the homeowner reports that you did not actually arrive or perform the service (a "no-show"), the payment hold will be released to the homeowner and your account will be flagged. Repeated no-show reports may result in account suspension or termination (see Section 14).
5. Payment Terms
5.1 Payment Facilitator Role
Lawnify acts solely as a payment facilitator through Stripe Connect. Lawnify is not a party to the service agreement between you and the homeowner. The homeowner pays the full quoted amount, and Stripe splits the payment between your Stripe Connect account and Lawnify's platform account based on the applicable platform fee.
5.2 Platform Fees
Lawnify charges a platform fee on each completed service transaction. The platform fee rate is determined by your Provider subscription tier at the time the homeowner accepts your quote:

- Fee Calculation. The platform fee is calculated as:
platform_fee = floor(final_price * fee_rate), wherefinal_priceis the quoted price in cents andfee_rateis the applicable percentage. You receivefinal_price - platform_fee. - Stripe Processing Fees. Stripe's standard payment processing fee (currently 2.9% + $0.30 per transaction, plus 0.25% per Connect payout) is deducted from Lawnify's platform fee, NOT from your share. Your payout amount is calculated before Stripe processing fees are applied.
- Fee Transparency. Before you submit a quote and before a homeowner accepts a quote, both parties will see a fee breakdown showing: the total price, the platform fee amount, and your net payout amount.
- Fee Rate Lock. If you change your subscription tier after a homeowner has accepted a quote but before the service is completed, the fee rate applicable to that transaction is the rate in effect at the time the quote was accepted.
- Fee Modifications. Lawnify reserves the right to modify platform fee rates with thirty (30) days' written notice. Fee changes will not apply to transactions where the homeowner has already accepted a quote at the time of the change.
5.3 Payment Capture and Payout
- When you mark a service as "completed," the homeowner enters a forty-eight (48) hour dispute window. During this window, the homeowner may dispute that the service was performed or was performed unsatisfactorily (see Section 6).
- If no dispute is raised within the 48-hour window, or if the homeowner affirmatively confirms completion before the window closes, Stripe will capture the authorized payment.
- Upon payment capture, Stripe will transfer your share (the transaction amount minus the platform fee) to your Stripe Connect account.
- Payout Schedule. Payouts from your Stripe Connect account to your bank account are made according to your configured payout schedule (daily, weekly, or monthly), as set through the Stripe Connect dashboard. Lawnify does not control the timing of Stripe payouts to your bank account once funds have been transferred to your Connect account.
- A service receipt will be emailed to the homeowner upon payment capture, with an itemized breakdown of the transaction.
5.4 Minimum Transaction Amount
All service transactions must meet the minimum amount of twenty-five dollars ($25.00). You may not submit a quote below this minimum. This minimum exists to cover payment processing costs and ensure viable transactions for all parties.
5.5 Currency
All transactions on the Platform are conducted in United States Dollars (USD).
6. Cancellation and Refund Policy
6.1 Homeowner Cancellation
- Before Scheduled Status. A homeowner may cancel a service request at no cost at any time before the request reaches "scheduled" status.
- After Scheduling — 24-Hour Notice. After a service has been scheduled, the homeowner may cancel with at least twenty-four (24) hours' notice before the scheduled service date at no cost. The payment authorization hold will be released.
- Same-Day Cancellation. If a homeowner cancels on the same day as the scheduled service (less than 24 hours' notice), Lawnify reserves the right to implement a cancellation fee in the future. At launch, same-day cancellations will be at no cost. You will be notified if a cancellation fee policy is introduced.
6.2 Provider Cancellation
- You may cancel a scheduled service request at any time. If you cancel, the payment authorization hold will be released to the homeowner immediately.
- Provider cancellations negatively impact your reliability score, which is tracked internally and may affect your search placement, lead priority, and account standing.
- Repeated provider cancellations (three or more in a rolling 30-day period) may result in account review, suspension, or termination at Lawnify's discretion.
6.3 Forty-Eight-Hour Dispute Window
- After you mark a service as "completed," the homeowner has forty-eight (48) hours to raise a dispute. During this window, payment is authorized but not yet captured.
- If the homeowner raises a dispute within the 48-hour window, payment capture will be paused and Lawnify will mediate the dispute in accordance with Section 17.
- If no dispute is raised within the 48-hour window, payment will be automatically captured and your payout will be initiated.
6.4 Refunds
- Provider-Initiated Cancellation. If you cancel a service request at any stage, the homeowner will receive a full refund of any authorized or captured payment.
- Disputed Services. For disputes that are resolved in favor of the homeowner, Lawnify will issue a full or partial refund to the homeowner at its sole discretion. If a refund is issued after payment has been captured, the corresponding amount will be debited from your Stripe Connect account or offset against future payouts.
- Platform-Mediated Refunds. Lawnify reserves the right to issue refunds to homeowners at its sole discretion in cases of provider misconduct, service quality failures, or policy violations. You agree to cooperate with any refund investigation.
7. Account Dormancy and Deactivation
7.1 Dormancy Policy
- If your Provider account shows no activity for a period of ninety (90) consecutive days, your account will be classified as "dormant." For purposes of this section, "activity" means any of the following: logging into the Provider dashboard, receiving a service request, submitting a quote, completing a service, or updating your profile or service listings.
- Upon classification as dormant, your Stripe Connect account will be deactivated to avoid ongoing account maintenance costs. Your Provider listing will be removed from search results and will not be visible to homeowners.
7.2 Dormancy Notification
Lawnify will send you an email notification at least fourteen (14) days before your account is classified as dormant, providing you an opportunity to reactivate by performing any qualifying activity.
7.3 Reactivation
- You may reactivate a dormant account at any time by logging into the Platform and completing the reactivation process, which may include re-verifying your Stripe Connect account.
- Upon reactivation, your Provider profile, service listings, reviews, and rating history will be restored. Reactivation may take up to forty-eight (48) hours while your Stripe Connect account is re-onboarded.
- Lawnify reserves the right to require updated verification (including a new background check) for accounts that have been dormant for more than twelve (12) months.
7.4 Vacation Mode
As an alternative to dormancy, you may place your account in "vacation mode" (paused status) at any time through your Provider settings. While in vacation mode:
- Your listing will be temporarily removed from search results;
- You will not receive new service requests;
- Your Stripe Connect account will remain active;
- Your account will not be subject to the 90-day dormancy policy.
You may unpause your account at any time to resume receiving service requests.
8. Provider Conduct Standards
8.1 General Conduct
As a Provider on the Platform, you agree to:
- Perform all services in a professional, safe, and workmanlike manner consistent with applicable industry standards;
- Arrive on time for scheduled services and communicate promptly with homeowners if delays arise;
- Treat all homeowners, their property, their family members, and their pets with courtesy and respect;
- Comply with all applicable federal, state, and local laws, regulations, and ordinances, including but not limited to:
- Environmental Protection Agency (EPA) regulations for pest control and chemical application;
- State pesticide licensing and application requirements;
- Local water use restrictions and drought ordinances for irrigation services;
- Local noise ordinances for mowing and equipment operation;
- OSHA workplace safety requirements;
- Use equipment that is properly maintained, in safe working condition, and appropriate for the services being performed;
- Clean up the work area upon completion of services, removing all debris, clippings, or waste generated by your work unless otherwise agreed with the homeowner.
8.2 Prohibited Conduct
You shall NOT:
- Misrepresent your qualifications, licensing, insurance status, or the nature or quality of services you provide;
- Engage in discriminatory practices based on race, color, religion, sex, national origin, disability, age, genetic information, sexual orientation, gender identity, or any other characteristic protected by law;
- Use the Platform to engage in any fraudulent, illegal, or deceptive activities;
- Damage, steal from, or trespass on homeowner property beyond the scope of the agreed service;
- Apply pesticides, herbicides, or other chemicals without the appropriate state license, or in violation of EPA label directions or local regulations;
- Provide watering or irrigation recommendations that violate local drought restrictions or water use ordinances;
- Solicit homeowners for off-platform transactions in violation of Section 10;
- Create multiple Provider accounts or allow others to use your account;
- Manipulate ratings, reviews, or the Platform's search or matching algorithms;
- Submit false or misleading completion reports or upload photos not taken at the actual service location.
8.3 Rating Threshold
- Providers who maintain an average rating below 3.0 out of 5.0 stars will receive a written warning from Lawnify.
- Providers whose average rating drops below 2.5 out of 5.0 stars will be subject to account review, which may result in suspension or termination.
9. Insurance and Liability
9.1 Required Insurance
You must maintain, at your own expense, the following insurance coverage throughout the term of your participation as a Provider on the Platform:
- Commercial General Liability Insurance with a minimum coverage amount of five hundred thousand dollars ($500,000) per occurrence. This policy must cover bodily injury, property damage, and personal injury arising from the services you perform.
- Workers' Compensation Insurance as required by applicable state law. In states where workers' compensation is optional for sole proprietors (e.g., Texas), it is recommended but not required for solo operators. Providers with three (3) or more employees must maintain workers' compensation coverage.
9.2 Proof of Insurance
- Lawnify may request proof of insurance at any time. You must provide a valid certificate of insurance within five (5) business days of such request.
- Providers who submit proof of valid insurance will receive an "insurance_verified" badge on their profile. This badge is a convenience indicator only and does not constitute Lawnify's endorsement, verification, or guarantee of the adequacy of your insurance coverage.
- You must notify Lawnify within five (5) business days if your insurance coverage lapses, is cancelled, or materially changes. Failure to maintain required insurance may result in immediate account suspension.
9.3 Provider Liability
- You are solely responsible and liable for the services you perform, the manner in which you perform them, and any property damage, personal injury, or other losses arising from your services.
- You are solely responsible for your employees, subcontractors, and agents. You shall ensure that any individuals performing services on your behalf comply with these Provider Terms and maintain appropriate insurance coverage.
- Lawnify does not supervise, direct, control, or monitor the quality of services you perform. Lawnify's role is limited to facilitating the connection between you and homeowners and processing payments.
9.4 Lawnify's Limited Role
Lawnify is a technology platform that facilitates connections between homeowners and Providers. Lawnify does NOT:
- Employ, supervise, or direct Providers;
- Guarantee the quality, safety, legality, or timeliness of any services;
- Guarantee the accuracy of homeowner-provided lawn data, AI-generated analyses, or health scores;
- Provide, recommend, or endorse any specific lawn care products, chemicals, or methods;
- Assume responsibility for property damage, personal injury, or any other harm arising from services performed by Providers.
10. Non-Solicitation and Platform Integrity
10.1 Non-Solicitation of Platform Customers
- During the term of this Agreement and for twelve (12) months following termination, you agree not to directly or indirectly solicit, contact, or provide services to any homeowner whom you were first introduced to through the Platform ("Lawnify-Sourced Customer") outside of the Platform, for the purpose of circumventing the Platform's payment and fee structure.
- For clarity, this restriction applies only to homeowners you were first connected with through Lawnify. It does not restrict you from serving customers you acquired independently, through other channels, or who were your customers before they joined the Platform.
- If a Lawnify-Sourced Customer contacts you directly to request services outside the Platform, you must direct them to submit the request through the Platform.
10.2 Anti-Circumvention
You shall not:
- Encourage or instruct homeowners to contact you outside the Platform to avoid platform fees;
- Include contact information (phone number, email, website) in quote notes or completion notes for the purpose of diverting transactions off-platform;
- Offer discounts or incentives to homeowners conditioned on transacting outside the Platform.
10.3 Remedies
Violation of this Section 10 may result in immediate account termination and, at Lawnify's discretion, recovery of platform fees that would have been earned on the circumvented transactions.
11. Intellectual Property
11.1 Lawnify Intellectual Property
- The Platform, including its software, algorithms, user interface, data models, AI models, agronomic knowledge base, branding, and proprietary content, is the exclusive property of Lawnify and is protected by intellectual property laws.
- These Provider Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purpose of offering and delivering services to homeowners through the Platform.
- You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of any Platform component.
11.2 Provider-Uploaded Content
- You retain ownership of all photos, images, text, and other content you upload to the Platform ("Provider Content"), including portfolio photos, business descriptions, and completion photos.
- By uploading Provider Content to the Platform, you grant Lawnify a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, display, reproduce, modify, distribute, and create derivative works of your Provider Content in connection with the operation, promotion, and improvement of the Platform. This license survives termination of your account.
- You represent and warrant that you own or have the necessary rights and permissions to upload all Provider Content and that your Provider Content does not infringe the intellectual property rights of any third party.
11.3 Homeowner Data and AI Analysis
- Lawn data, AI analyses, health scores, and property information provided to you through service requests are the property of the respective homeowner and/or Lawnify.
- You may use homeowner data solely for the purpose of quoting and performing the requested service. You may not retain, share, sell, or use homeowner data for any other purpose, including marketing or solicitation.
- You acknowledge that AI-generated lawn analyses are provided for informational purposes only and may contain inaccuracies. You are responsible for exercising your own professional judgment when quoting and performing services.
11.4 Reviews
- Reviews submitted by homeowners about your services are the intellectual property of the respective homeowner, with a license granted to Lawnify to display them on the Platform.
- You may respond publicly to reviews through the Platform. Your review responses become part of the Platform content and are subject to the same content license granted in Section 11.2(b).
- Reviews and your aggregate rating are not portable. You may not copy, reproduce, or use reviews from the Platform on external websites or marketing materials without Lawnify's written consent.
12. Ratings, Reviews, and Reputation
12.1 Review System
- After completing a service, homeowners may rate you on a scale of 1 to 5 stars and submit a written review with optional photos. Homeowners have fourteen (14) days following service completion to submit a review.
- Your aggregate rating (average stars and total review count) is displayed on your Provider profile and search cards.
- You may submit one (1) public response to each review.
12.2 Review Integrity
- You may not solicit, incentivize, or coerce homeowners to leave positive reviews or to refrain from leaving negative reviews.
- You may not submit reviews of yourself from other accounts.
- Reviews that you believe violate the Platform's content policies may be flagged for moderation. Lawnify will review flagged content and may remove reviews that contain personal attacks, hate speech, spam, or demonstrably false factual claims. Lawnify will not remove reviews solely because they contain negative feedback about your services.
12.3 Reliability Metrics
In addition to star ratings, Lawnify tracks internal reliability metrics including response time, completion rate, cancellation rate, and no-show reports. These metrics may affect your search placement and lead priority.

13.2 Subscription Billing
- Provider Pro and Provider Premium subscriptions are billed monthly through Stripe. You authorize Lawnify to charge your designated payment method on a recurring basis.
- Subscription fees are separate from and in addition to platform transaction fees.
- Subscription tier changes take effect at the beginning of your next billing cycle. Downgrades do not result in prorated refunds for the current billing period.
- Transactions in progress at the time of a tier change will use the fee rate that was in effect when the homeowner accepted the quote (see Section 5.2(d)).
13.3 Booking Request Limits
- Free Listing providers may receive up to ten (10) booking requests per calendar month. Provider Pro may receive up to fifty (50). Provider Premium providers have no request limit.
- When you reach your monthly request limit, the Platform will not route new service requests to you until the next calendar month begins.
- Your current request usage is displayed on your Provider dashboard.
13.4 No Guarantee of Bookings
Lawnify does not guarantee any minimum number of service requests, quotes, or completed bookings at any subscription tier. Subscription fees are for access to Platform features and are not contingent on actual booking volume.
14. Termination
14.1 Termination by Provider
You may terminate your Provider account at any time by:
- Completing or canceling all pending and scheduled service requests;
- Navigating to Provider settings and requesting account deactivation; or
- Contacting Lawnify support.
Termination does not release you from obligations related to services that are in progress or completed but not yet paid out. Pending payouts will be processed according to the normal payout schedule.
14.2 Termination by Lawnify
Lawnify may suspend or terminate your Provider account at any time, with or without cause, by providing written notice. Without limiting the foregoing, Lawnify may immediately suspend or terminate your account for:
- Violation of these Provider Terms, including but not limited to the conduct standards in Section 8, insurance requirements in Section 9, or non-solicitation obligations in Section 10;
- Repeated or serious complaints from homeowners;
- Maintaining an average rating below 2.5 out of 5.0 stars;
- Repeated no-shows (three or more in a 30-day period);
- Repeated cancellations (three or more in a 30-day period);
- Fraudulent or illegal activity;
- Failure to maintain required licenses, permits, or insurance;
- Failure to pass a background check or re-verification;
- At Lawnify's sole discretion for any other reason that Lawnify determines is harmful to the Platform, its users, or its reputation.
14.3 Effect of Termination
Upon termination:
- Your Provider listing will be immediately removed from the Platform;
- You will not receive new service requests;
- You must complete any in-progress services. If completion is not possible, the service will be cancelled and the homeowner's payment hold will be released;
- Pending payouts for completed services will be processed according to the normal payout schedule;
- Your review history and reputation data will be retained by Lawnify;
- The non-solicitation obligations in Section 10 will survive for twelve (12) months;
- If you have an active Provider Pro or Provider Premium subscription, you may cancel the subscription, but no prorated refund will be issued for the current billing period.
14.4 Reinstatement
If your account was terminated by Lawnify, you may apply for reinstatement after ninety (90) days by submitting a new registration application, which will be subject to the standard review process. Lawnify reserves the right to deny reinstatement at its sole discretion.
15. Limitation of Liability
15.1 Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Lawnify specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Lawnify does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
15.2 AI Disclaimer
Lawnify's AI-generated lawn analyses, health scores, grass type identifications, and care plan recommendations are provided for informational purposes only. They are not a substitute for professional agronomic advice. Lawnify does not guarantee the accuracy, completeness, or reliability of any AI-generated data. You, as a licensed professional, are responsible for exercising your own independent judgment when relying on any data provided through the Platform.
15.3 Limitation of Damages
To the maximum extent permitted by applicable law, in no event shall Lawnify, its officers, directors, employees, agents, or affiliates be liable to you for:
- Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses;
- Any loss or damage arising from:
- Your use of or inability to use the Platform;
- Any transaction or relationship between you and any homeowner;
- Any content or data provided through the Platform, including AI-generated data;
- Unauthorized access to or alteration of your data or transmissions;
- Any other matter relating to the Platform.
15.4 Cap on Liability
Lawnify's total cumulative liability to you for all claims arising out of or relating to these Provider Terms or your use of the Platform shall not exceed the greater of: (a) the total platform fees retained by Lawnify from your transactions during the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100.00).
15.5 Basis of the Bargain
You acknowledge that Lawnify has set its fees and entered into these Provider Terms in reliance upon the limitations of liability and the disclaimers of warranties and damages set forth herein, and that the same form an essential basis of the bargain between the parties.
16. Indemnification
16.1 Provider Indemnification
You agree to indemnify, defend, and hold harmless Lawnify, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your performance or failure to perform services;
- Any property damage, personal injury, or death caused by you, your employees, subcontractors, or agents;
- Your violation of these Provider Terms;
- Your violation of any applicable law, regulation, or third-party right;
- Your content or materials uploaded to the Platform;
- Any tax obligations arising from your use of the Platform;
- Any dispute between you and a homeowner that is not resolved through the Platform's dispute resolution process;
- Any claim that you are or should be classified as an employee of Lawnify rather than an independent contractor.
16.2 Indemnification Procedure
Lawnify will provide you with prompt notice of any claim subject to indemnification and will cooperate with you in the defense of such claim. Lawnify reserves the right to assume exclusive control of the defense of any claim subject to indemnification, at your expense.
17. Dispute Resolution
17.1 Provider-Homeowner Disputes
- 48-Hour Dispute Window. Homeowners may raise a dispute within forty-eight (48) hours of a Provider marking a service as "completed." During this window, payment capture is paused.
- Platform Mediation. Lawnify will attempt to mediate disputes between Providers and homeowners. During mediation, Lawnify may request additional information, documentation, or photos from either party.
- Resolution. Lawnify will issue a resolution within seven (7) business days of the dispute being raised. Resolutions may include:
- Full payment capture (service confirmed as completed satisfactorily);
- Partial refund to the homeowner and partial payment to the Provider;
- Full refund to the homeowner (service not completed or materially deficient).
- Finality. Lawnify's resolution of a Provider-homeowner dispute is final with respect to the Platform's payment processing. This does not prevent either party from pursuing independent legal action.
17.2 Provider-Lawnify Disputes
- Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to contact Lawnify at legal@lawnify.io and attempt to resolve the dispute informally for a period of thirty (30) days.
- Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Provider Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Lawnify's principal place of business, or remotely at the election of either party.
- Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
- Small Claims Exception. Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
- Governing Law. These Provider Terms shall be governed by and construed in accordance with the laws of the applicable state of incorporation, without regard to its conflict of laws principles.
18. General Provisions
18.1 Entire Agreement
These Provider Terms, together with the general Terms of Service, Privacy Policy, Stripe Connected Account Agreement, and any other policies referenced herein, constitute the entire agreement between you and Lawnify with respect to your use of the Platform as a Provider.
18.2 Modifications
Lawnify reserves the right to modify these Provider Terms at any time. Material changes will be communicated to you via email and/or a notice on the Platform at least thirty (30) days before they take effect. Your continued use of the Platform as a Provider after the effective date of any modification constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must terminate your Provider account before the effective date.
18.3 Severability
If any provision of these Provider Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
18.4 Waiver
Lawnify's failure to enforce any provision of these Provider Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision shall be effective only if made in writing and signed by Lawnify.
18.5 Assignment
You may not assign or transfer these Provider Terms or any rights or obligations hereunder without Lawnify's prior written consent. Lawnify may assign these Provider Terms without restriction.
18.6 Notices
Notices to you will be sent to the email address associated with your account. Notices to Lawnify should be sent to: legal@lawnify.io.
18.7 Survival
The following sections survive termination of these Provider Terms: Section 2 (Independent Contractor Relationship), Section 5 (Payment Terms — for pending payouts), Section 9 (Insurance and Liability), Section 10 (Non-Solicitation — for 12 months), Section 11 (Intellectual Property), Section 15 (Limitation of Liability), Section 16 (Indemnification), Section 17 (Dispute Resolution), and Section 18 (General Provisions).
18.8 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Provider Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, or Stripe outages.
18.9 Electronic Acceptance
By clicking "I Agree" or a similar button during the Provider registration process, or by accessing or using the Platform as a Provider after these Provider Terms have been posted, you acknowledge that you have read, understood, and agree to be bound by these Provider Terms. This electronic acceptance has the same legal effect as a handwritten signature.
Appendix A: State-Specific Regulatory Notes
Texas (Austin)
- General lawn care maintenance does NOT require a contractor's license.
- Pesticide application requires a Commercial Applicator license from the Texas Department of Agriculture (TDA).
- Irrigation services may require a landscape irrigator license from the Texas Commission on Environmental Quality (TCEQ).
- Workers' compensation insurance is optional for all Texas employers, including sole proprietors. Lawnify requires workers' compensation for Providers with 3 or more employees.
- Sales tax of 6.25% plus local rates applies to lawn care services. Tax collection and remittance is the Provider's responsibility.
North Carolina (Raleigh)
- General lawn care maintenance does NOT require a contractor's license.
- Pesticide application requires a license from the NC Department of Agriculture and Consumer Services.
- Landscape contracting licenses may be required for projects exceeding $30,000.
- Workers' compensation is required for businesses with 3 or more employees.
- Lawn maintenance services are generally exempt from sales tax.
Arizona (Phoenix)
- General gardening and lawn maintenance is exempt from contractor licensing requirements.
- Landscape contracting requires a C-21 license from the Arizona Registrar of Contractors for projects exceeding $1,000.
- Pesticide application requires a license from the Arizona Department of Agriculture.
- Workers' compensation is required for businesses with 1 or more employees (including sole proprietors who hire any worker).
- Lawn maintenance services are generally not subject to Transaction Privilege Tax (TPT).
